The commercial registry licence provides access to legal information concerning the status of businesses, partnerships, sole traders, and other entities.
We can request commercial licences for clients and consult the registries for the same.
Through the commercial registry service, various events related to entities can be recorded, ranging from their establishment to termination.
There are two methods for conducting commercial registries: transcription and deposit.
Transcription-based registry involves the approval or rejection of registry actions by a registrar or register officer, rendering the recorded facts legally binding.
In contrast, deposit-based registry is solely for documenting information relevant to commercial registry matters and does not undergo validation by a registrar or register officer.
Transcription-based registries are necessary for:
- Changes to corporate governance
- Alterations in share capital
- Entity restructuring
- Modifications to contractual terms
- Conversions of registry types
- Dissolutions or liquidations
- Mergers or demergers
- Alterations to contractual terms involving appointments to corporate positions
- Changes to contractual terms accompanied by modifications in share capital
- Changes to contractual terms along with modifications in share capital and appointments to corporate positions
- Entity restructuring along with appointments to corporate positions
- Changes in share capital in conjunction with entity restructuring and appointments to corporate positions.
Deposit-based registries are recommended for:
- Adjustments in ownership quotas
- Pledges of ownership quotas
- Judicial orders affecting ownership quotas
- Legal restrictions on ownership quotas
- Quota amortization
- Mandates or agency agreements
- Merger or demerger proposals
- Registry corrections or cancellations.
